3

What type of rights are included?

+

Logan Mader is listing 100% of the songwriting and publishing royalties generated by the songs included in the catalogue.

Songwriter Royalties:
Songwriters and performers of a song are entitled to a share of the royalties generated by a song’s music composition (song for how it is written) and sound recording (song for how it is recorded) respectively. Songwriter royalties are usually paid to the songwriter by a partnering publisher, collective management organisation or performing rights organisation, while performers are usually paid by the record label or distribution company they signed with.

Publishing Rights:
Songwriters frequently sign publishing deals with music publishers, who then earn money through licensing fees and royalties in exchange for the task of licensing the composition and collecting the royalties. In terms of song ownership, a publisher may usually get a 50% stake in a track.
There are several types of publishing royalties: mechanical royalties derive from the sale of recorded music, such as CDs or digital downloads. These royalties might be paid to publishers by record companies. Performance royalties are collected by performance rights organisations such as SESAC, BMI, ASCAP, SIAE, SACEM or GEMA and are paid by radio stations, other broadcasters and venues, event organisers for live performances and streaming channels. Synchronisation royalties are required when a composition is used in a film or television soundtrack.
A music publisher is responsible for ensuring the songwriters and composers receive payment when their compositions are used commercially. Through an agreement called publishing contract, a songwriter or composer "assigns" the copyright of their composition to a publishing company. In return, the company licences compositions, helps monitor where compositions are used, collects royalties and distributes them to the composers. They also secure commissions for music and promote existing compositions to recording artists, film and television.
The copyrights owned and administered by publishing companies are one of the most important forms of intellectual property in the music industry.

4

At what frequency will royalties be paid out?

+

The royalties are distributed by BMI, UMG and Provident Financial Management quarterly. The royalty payouts on ANote Music Platform might account for some extra time, in order to perform our due diligence activities. ANote Music will be distributing the exact amounts straight to the investor’s account and portfolio wallet as soon as all funds are available and have been verified. The standard fees are applied as is the case for other auctions: 4% when the rights have been acquired during primary market listings, 8% in the case they were traded on the secondary market. For more information on our fees, please read more on the dedicated section on our platform.

5

How is the initial price of the asset determined?

+

As with any listing on the ANote Music platform, an in-depth due diligence process has been executed by our team, carefully analysing and assessing the historical track record of the catalogue. In agreement with the rights owner (Logan Mader) the initial price has been determined based on the historical average royalties generated in the last 3 years (multiple of 7.06x over the royalties generated in the last 36 months).

Music rights holders offer a portion of their rights up for auction. The catalogues undergo a full due diligence process, reviewing all historical data, contracts and future potentials before getting listed for auction.

You’ll have access to clear charts and easy-to-understand tools, summaries of all necessary financial data and information. You can then decide to place bids during the auction phase and acquire fractional shares of music catalogues. Once the auction ends and your bids are successful, shares will be distributed to your portfolio. The shares become instantly tradable on the secondary market.

Each time royalties are being paid out, you’ll receive the funds, pro-rata to the percentage of the catalogue owned, straight to your account.
